Terms of Business

A clear framework for professional assignments.

Last updated: 15 October 2026

About these terms

These Terms of Business provide a general framework for services supplied by JCLO ChronoCopy LLC. The specific scope, fees, delivery schedule, revision terms and payment arrangements for each assignment will be confirmed in a written quotation, proposal, service agreement or platform contract.

Project scope

Services are provided according to the scope agreed in writing. Any work requested outside the approved scope may require a revised quotation, additional fee or updated delivery schedule.

Client materials and instructions

The client is responsible for providing complete, accurate and legally usable source materials, reference files, terminology and instructions. The client confirms that it has the necessary rights or authorization to provide those materials for the agreed services.

Quotations and confirmation

Quotations are prepared according to the available project information and remain valid for the period stated in the quotation. Work begins only after the scope, fees and schedule have been accepted in writing and any required initial payment or platform milestone has been completed.

Delivery and revisions

Deliverables are supplied digitally in the format agreed for the project. Revisions are limited to the scope stated in the quotation or agreement. New instructions, changes to approved source content or substantial changes in direction may be treated as additional work.

Confidentiality

JCLO ChronoCopy LLC handles client materials with professional care. Where required, confidentiality obligations may be confirmed through an NDA or project agreement before sensitive source materials are shared.

Intellectual property

Unless otherwise agreed in writing, rights in the final commissioned deliverables transfer to the client after full payment has been received. JCLO ChronoCopy LLC retains ownership of its pre-existing methods, templates, processes and general know-how.

Third-party platforms

Projects commissioned through Upwork or another third-party platform remain subject to that platform’s applicable contract, payment, dispute and privacy terms. Where platform terms conflict with these general terms, the applicable platform agreement will govern the platform-based assignment.

Limitations

Language and content services are provided for the agreed purpose and audience. The client remains responsible for final legal, regulatory, medical, financial or technical approval where specialist professional advice is required.

Changes to these terms

These terms may be updated when business practices or legal requirements change. The version applicable to an assignment will be the version available or agreed when the project is confirmed.
